Unmudl Terms of Service for Employers

Welcome to Unmudl! These Terms of Service (“Terms” or “Agreement”) govern your access and use of Unmudl Public Benefit Corporation’s employer services, offered through unmudl.com (the “Platform”). By registering for an employer account or accessing the Platform, you (“Employer,” “you,” or “your”) agree to be legally bound by these Terms.

If you do not agree, you may not use the Platform or its employer services.

1. Scope of Services

Unmudl provides a platform that enables Employers to:

1.1.
Post job openings targeting Unmudl learners and graduates.
1.2.
Access a pool of learners and candidates for employment opportunities.
1.3.
Participate in Unmudl hiring events, promotions, and employer branding activities.
1.4.
Use optional paid features, such as premium job listings, employer profile enhancements, or direct candidate outreach tools.
1.5.
Communicate directly with working Learners and other users of the platform through online messaging tools.

2. Eligibility and Account Setup

By creating a Employer account, you represent that you:

2.1.
Are a legally established business or organization.
2.2.
Have the authority to bind your institution to this Agreement.
2.3.
Will provide accurate, current, and complete account information.
2.4.
Are responsible for maintaining the confidentiality of account credentials and all activity under your account.

3. Employer Obligations

You agree to:

3.1.
Ensure all job postings are lawful, non-discriminatory, and accurately reflect the role and employment terms.
3.2.
Not engage in misleading, abusive, or fraudulent activity on the Platform.
3.3.
Respect Unmudl’s candidate and learner community, refraining from harassment, exploitation, or misuse of contact information.
3.4.
Promptly update your listings or account details if they become inaccurate.

Unmudl reserves the right to remove any job posting or employer content that, in its sole discretion, violates these Terms or harms the Platform’s integrity.

4. Term, Renewal, and Termination

4.1.
Term: This Agreement is effective upon account registration and continues until terminated.
4.2.
Renewal: Paid services, if subscribed, renew automatically unless cancelled.
4.3.
Termination by Employer: You may terminate your account at any time via your account settings.
4.4.
Termination by Unmudl: We may suspend or terminate your account if you materially breach these Terms, fail to pay, or engage in conduct we determine harmful to the Platform or its users.

5. Fees, Payments, and Refunds

5.1.
Fees: Certain employer features may require payment (e.g., premium listings, events, or branding services). Current pricing is available on the Platform.
5.2.
Billing and Payment: Payment terms are defined in your onboarding or invoicing agreement.
5.3.
Refunds: Unmudl generally does not offer refunds except as required by law or as explicitly stated in service agreements.

6. Employer Content and Job Postings

You retain ownership over the content you submit, such as job listings, company descriptions, logos, and materials (“Employer Content”). However, by submitting content, you grant Unmudl a worldwide, non-exclusive, royalty-free license to use, display, and distribute this content for the purposes of operating and marketing the Platform.

You confirm that:

6.1.
You have the right to post the Employer Content.
6.2.
The content does not infringe any intellectual property, privacy, or publicity rights.
6.3.
You are solely responsible for the accuracy and legality of your postings.

7. Privacy and Data Protection

Unmudl handles learner and candidate data in accordance with its Privacy Notice.
As an Employer, you agree to:

7.1.
Use candidate data solely for lawful employment-related purposes.
7.2.
Comply with all applicable privacy and data protection laws.
7.3.
Not share, sell, or misuse candidate information and other data obtained through the Platform.

8. Intellectual Property Rights

Unmudl retains ownership of all intellectual property related to the Platform, software, branding, and aggregated insights.
Employers may not:

8.1.
Copy, modify, or distribute Platform content (other than their own postings) without written permission.
8.2.
Reverse-engineer or attempt to access Platform source code.

9. Warranties and Disclaimers

Unmudl provides the Platform “as is” without guarantees of specific outcomes, such as hires, candidate quality, or uninterrupted service. We do not:

9.1.
Verify every candidate’s background, credentials, or suitability.
9.2.
Guarantee job applications or matches.

10. Limitation of Liability

To the maximum extent allowed by law, Unmudl’s total liability to you for any claim under these Terms is limited to the fees you paid in the 12 months prior to the claim.
We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.

11. Indemnification

You agree to indemnify and hold Unmudl harmless from claims, damages, or losses arising from:

11.1.
Your job postings or content.
11.2.
Your use or misuse of candidate data.
11.3.
Your violation of these Terms or applicable laws.

12. Compliance with Laws

You are solely responsible for ensuring that your use of the Platform, including job postings, hiring practices, and employment activities, complies with all applicable laws, including employment, non-discrimination, and privacy regulations.

13. Publicity and Marketing

Unless you opt out in writing, Unmudl may identify your company as an Employer partner, using your name and logo in marketing materials, case studies, or promotional content.

14. Third-Party Services and Integrations

If you connect third-party tools or services to the Platform, you are solely responsible for those relationships and their terms. Unmudl is not liable for third-party services’ performance or compliance.

15. Modifications to Terms or Services

We may update these Terms or modify services as needed. For material changes, we will provide 30 days’ notice. Continued use after that period constitutes acceptance of the changes.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, USA. Any disputes must be brought in Texas state or federal courts.

17. General Provisions

17.1.
Entire Agreement: These Terms constitute the full agreement between you and Unmudl.
17.2.
No Waiver: Failure to enforce rights does not waive them.
17.3.
Severability: If part of these Terms is found invalid, the remainder remains enforceable.
17.4.
Assignment: You may not assign your rights without Unmudl’s consent.
